Berdasarkan draft revisi, pemerintah akan memberikan insentif fiskal untuk proyek-proyek migas yang tidak ekonomis: Insentif fiskal akan dirinci secara detail dalam Peraturan Menteri ESDM.

Sementara itu, pelaku usaha berharap agar tingkat pengembalian modal dalam investasi hulu migas minimal 15%. Direktur Jenderal Minyak dan Gas Bumi Kementerian Energi dan Sumber Daya Mineral (ESDM) IGN Wiratmaja Puja mengatakan, pemerintah akan melihat keekonomian lapangan migas berdasarkan angka pengembalian modal (internal rate of return/IRR). Dari diskusi yang dilakukan pemerintah, Wirat,aja menyebutkan, batas keekonomian lapangan (IRR) adalah 12%. 

Dari diskusi tersebut, proyek dengan IRR sebesar 12% tergolong ekonomis. “Memang betul IRR, keekonomian itu dihitung dari IRR. Dari diskusi-diskusi sekitar 12%," katanya belum lama ini. Menurutnya, setelah revisi Peraturan Pemerintah No 19/2010 terbit, pihaknya akan menerbitkan Peraturan Menteri ESDM yang akan mengatur proyek migas yang pantas mendapatkan insentif fiskal.

Beberapa poin penting dalam revisi beleid tersebut yakni terdapat tambahan pasal yang mengatur fasilitas perpajakan untuk kegiatan eksplorasi dan eksploitasi migas. Dalam bab tambahan disebutkan bahwa kontraktor bisa mendapatkan fasilitas perpajakan yang diatur dalam enam pasal baru. Pada kegiatan eksplorasi, kontraktor bisa mendapatkan fasilitas berupa pembebasan pungutan bea masuk alas impor barang, pajak penambahan nilai (PPN), dan pajak penjualan atas barang mewah (PPnBM), dan insentif lalunya. Selain itu, pada masa eksplorasi, kontraktor tidak dipungut PPh Pasal 22 atas impor barang dan pengurangan pajak bumi dan bangunan (PBB) 100% terutang yang tercantum dalam surat pemberitahuan pajak terutang (SPPT).

Direktur Indonesia Petroleum Association (IPA) Sammy Hamzah mengatakan, industri migas berisiko tinggi. Oleh karena itu, dia menganggap bahwa industri hulu migas memiliki IRR yang sesuai dengan tingkat risiko proyek. 

DUA DIGIT

Menurutnya, IRR di industri migas biasanya mencapai dua digit agar sesuai dengan standar keekonomian masing-masing perusahaan. Dengan kondisi harga minyak yang masih belum pulih, pelaku usaha membutuhkan IRR minimal 15% agar proyek layak investasi dan bisa dengan mudah mendapat pendanaan. “Standar IRR di industri Indonesia sudah pasti double digit. Ditambah situasi ekonomi dunia yang belum pulih maka untuk menarik pendana maka IRR-nya harus menarik perhatian. Saya perkirakan harapan investor di atas 15 %  katanya.

Sebelumnya, Kepala Pusat Kebijakan Pendapatan Negara Badan Kebijakan Fiskal (BKF) Kementerian Keuangan Goro Ekanto mengatakan, fasilitas perpajakan tak akan diberikan secara bebas setara dengan assume and discharge yang menjamin kegiatan usaha hulu tak dibebankan pajak selama masa kontrak berjalan. Menurutnya, fasilitas perpajakan hanya akan diberikan kepada lapangan tertentu yang rendah keekonomian. 

Fasilitas perpajakan yang diberikan akan diberikan dalam kegiatan eksplorasi dan eksploitasi. Pajak-pajak yang ditanggung kontraktor seperti PPh, PPn, dan bea masuk nantinya bisa dibebaskan pada lapangan tertentu. Anggota Komisi VI DPR RI Darmadi Dunanto mendukung keputusan Presiden Joko Widodo melalui Menteri BUMN Rini Soemarno yang merombak dua jabatan direksi Pertamina. Apalagi saat ini Darmadi menilai Pertamina sedang memiliki konflik internal. "Pak Jokowi mengambil sikap yang bagus dalam menjawab persoalan di Pertamina," kata Darmadi, Jumat. Politikus PDIP itu pun sudah mencium adanya konflik di dalam tubuh direksi Pertamina.

Hal itu terlihat sejak Direktur Operasional Ahmad Bambang diangkat menjadi Wakil Direktur Utama Pertamina. "Hal ini membuktikan langkah pengangkatan itu penuh dengan aroma kurang enak dan terkesan dipaksakan," kata Darmadi. Darmadi berharap ke depannya perusahaan milik pemerintah ini bisa mengikuti langkah PT Pertamina. Dalam hal ini merombak ulang para direksi BUMN yang dinilai tidak memiliki kemampuan. "Bersihkan saja orang-orang yang tidak memiliki integritas dan kapabilitas," kata Darmadi.

Dan sore harinya, langsung disampaikan kepada Presiden Joko Widodo untuk meminta persetujuan. “Atas usulan itu saya melapor ke Presiden dan menginstruksikan kepada saya. Dan sudah dilakukan. Makanya tadi malam saya menandatangani pemberhentian dua direksi Pertamina yaitu direktur utama dan wakil direktur utama," Rini menjelaskan.

Rini mengaku, ketidak akuran Dwi dan Bambang diketahuinya dari para Dewan Komisioner Pertamina yang menyampaikan bahwa terdapat masalah dalam kepemimpinan yang sudah parah dan bisa membahayakan perusahaan. “Saya melihatnya. maaf Pak Dwi dan Pak Bambang, masalahnya ini personality." Menteri BUMN Rini Soemarno mengungkapkan, pemberhentian dirut dan wadirut Pertamina terkait masalah kepemimpinan mereka yang dinilai bisa mengganggu stabilitas perusahaan. Keduanya sering tidak sejalan dalam proses pengambilan keputusan.

Usulan pemberhentian disampaikan oleh Dewan Komisaris Pertamina yang mengindikasikan sistem kepemimpinan yang terdiri atas dirut dan Wadirut di perusahaan migas nasional tersebut tidak tepat.   Penggantian keduanya (dirut dan Wadirut) terkait masalah personal. Dalam memimpin Pertamina jika terjadi ketidak cocokan bisa membahayakan perusahaan, kata Rini di Kantor Kementerian BUMN, Jakarta.

Menteri BUMN memastikan keputusan itu atas persetujuan Presiden Joko Widodo (Jokowi). Dirinya telah berkonsultasi dengan Kepala Negara sebelum memutuskan pemberhentian itu. Atas usulan pemberhentian itu, saya melapor ke Presiden dan Presiden menginstruksikan kepada saya, dan sudah dilakukan,” ujarnya. Pencopotan dua direksi tersebut dilakukan mendadak karena Dewan Komisaris Pertamina baru mengusulkan ke Menteri BUMN, Kamis (2/ 2).

Dewan komisaris menganggap permasalahan antara Dirut dan Wadirut Pertamina sudah akut dan akan mengganggu kinerja perseroan. “Betul ( sangat mendadak) karena dianggapnya sudah parah oleh dewan komisaris. Jadi tentu kami harus merespons. Alhamdulillah bisa langsung diberi waktu Presiden, jadi kami Iangsung laporkan,"

Menteri Rini mengaku pencopotan dua direksi BUMN migas itu dilakukan dengan berat hati. Apalagi sebelumnya dia mendukung Dwi Soetjipto dan Ahmad Bambang untuk menjadi orang nomor satu dan dua di Pertamina."Saya sedih saya mengetahui keduanya dan saya salah satu yang mendukung pemilihan Pak Tjip (sapaan akrab Dwi Soetjipto) dan Pak Abe (panggilan Ahmad Bambang)"

Rini mengungkapkan, tahun lalu perusahaan milik pemerintah ini mampu mencatatkan kinerja yang positif karena tim kerja (teamwork) yang solid. Dia tidak ingin persoalan di antara dirut dan Wadirut akan membuat kinerja perseroan berantakan. "Saya meyakini semua berhasil karena teamwork. Kalau team work tidak berjalan, jadi khawatir.

Yang jelas, awal mulai konflik itu tampak sejak awal Bambang menjabat posisi nomor dua di Pertamina. Ada sejumlah hal yang menjadi indikasinya. Konflik ini jelas tidak hanya merugikan Pertamina, melainkan juga negara. Sebab, perusahaan migas itu sedang mengerjakan proyek infrastruktur negara di bidang migas senilai Rp 700 triliun.

Dalam rapat umum pemegang saham luar biasa (RUPSLB) di Kantor Menteri Badan Usaha Milik Negara (BUMN), dewan komisaris Pertamina memberhentikan Dwi Soetjipto dan Ahmad Bambang. Selanjutnya, dewan komisaris menunjuk Yenni Andayani sebagai Pelaksana Tugas Dirut Pertamina hingga 30 hari ke depan. Dewan komisaris segera mengajukan calon dirut kepada pemegang saham. Dalam rapat itu juga diputuskan jabatan Wakil Dirut dihapus.

Rhenald menilai, mungkin ada saja pihak dari luar yang mengganggu kepemimpinan PT Pertamina secara internal. Ia menilai, Dwi Soetjipto sebagai dirut yang berasal dari luar Pertamina sangat menjaga Pertamina dan tidak mudah mengikuti

irama orang lain. Di sisi lain, Ahmad Bambang sebagai Wakil dirut berasal dari internal Pertamina. ”Mungkin ini awal ketidakcocokan,” katanya. 

Secara terpisah, Menteri BUMN Rini Soemarno mengakui, sebelumnya dewan komisaris Pertamina mengusulkan adanya jabatan Wakil dirut sehingga dirut dapat lebih berkonsentrasi pada bisnis hulu dan Mega Proyek, sementara Wakil dirut berkonsentrasi pada bisnis hilir. ”Tapi, malah situasi menjadi tidak stabil. Padahal, apa yang dihasilkan Pertamina tidak lepas dari kerja tim. Kalau tim tidak berjalan, kita khawatir nanti hasil yang sudah bagus pada 2016 bisa tidak bagus pada 2017” tutur Rini. Apalagi, pada 2017 banyak proyek besar yang mulai berjalan.

Di Kompleks Istana Presiden, Rini mengatakan, pemberhentian keduanya sudah melalui pertimbangan matang. ”Pada dasarnya masalah kepemimpinan. Penilaian ini atas usulan dewan komisaris dengan pertimbangan tanggung jawab Pertamina pada 2017 sangat besar,” kata Rini. Karena besarnya tanggung jawab, Pertamina dituntut memiliki tim solid. Namun, kerja sama tim itu tidak seperti yang diharapkan. Padahal, target yang lebih berat itu dapat tercapai jika ada kerja sama. Berangkat dari hal itu, dewan komisaris tidak hanya mengganti posisi dirut dan Wakil dirut Pertamina, tetapi juga menambah posisi direksi

Sementara itu, Komisaris Utama PT Pertamina Tanri Abeng mengungkapkan, dalam RUPSLB ditetapkan, nomenklatur jabatan wakil dirut dihilangkan. Ia mengakui, dengan jabatan dirut dan wakil dirut, banyak hal yang seharusnya dapat dilakukan dengan lebih cepat dan saling bersinergi justru berjalan lambat. ”Barangkali ada 20 tenaga strategis yang semestinya sudah diganti atau di isi, tetapi tidak terisi dan diganti,” kata Tanri. Pergantian Direktur Utama PT Pertagas pun terlambat diganti. Dari penanganan proyek-proyek, ia menilai, proses pengambilan keputusan yang cepat tidak berjalan.

"Terkadang dalam satu struktur itu tidak berjalan sesuai dengan intense struktur itu. Maka akan lebih baik kalau dicari talent-talent baru yang bisa bekerja sama dan solid teamwork-nya di Pertamina,” kata Komisaris Utama Pertamina Tanri Abeng

RUPS Pertamina digelar di kantor Kementerian BUMN. Selain Tanri, hadir pula Wakil Komisaris Utama yang juga Wakil Menteri ESDM Arcandra Tahar Kepala Badan Kebijakan Fiskal (BKF) yang juga Komisaris Pertamina Suahasil Nazara, serta jajaran direksi Pertamina. Termasuk Dwi dan Bambang. Namun, saat sesi konferensi pers setelah RUPS, dua sosok yang diberhentikan itu tidak ikut. 

RUPS juga memutuskan untuk mengubah nomenklatur perseroan dengan meniadakan posisi Wadirut. "Barangkali nomenklatur ini jadi bagian dari kondisi yang mengakibatkan tidak terjadinya kerja sama yang bagus itu," kata Tanri. Jabatan Wadirut merupakan posisi baru di struktur Pertamina. Pada Oktober 2016 Menteri BUMN Rini Soemarno menambah dua jabatan baru, yakni Wadirut serta direktur Mega Proyek Pengolahan dan Petrokimia. Tujuannya adalah pembagian tanggung jawab antara sektor hulu dan hilir. Namun, kenyataannya ternyata tidak sesuai dengan harapan.

Setelah pencopotan Dwi, Yenni Andayani menjadi pelaksana tugas Dirut Pertamina. "Kita harus berhati-hati untuk mengubah policy-policy. Yang penting adalah melakukan pengisian jabatan. Saya kira tiap-tiap direksi juga sudah sangat paham apa yang harus dilakukan dan pesannya juga jelas. Kita harus melakukan sustainability untuk 2017 ini," tuturnya.

Perempuan 51 tahun itu menjabat direktur gas dan energi baru terbarukan Pertamina sejak 28 November 2014. Sarjana hukum Universitas Parahyangan tersebut memulai karir di Pertamina pada 1991. Dia juga pernah menduduki posisi Dirut PT Nusantara Gas Company Services di Osaka, Dirut PT Donggi-Senoro LNG, serta senior VP gas and power Pertamina. 

Rini Soemarno menyatakan, Dwi dan Bambang diberhentikan atas permintaan dewan komisaris. Setelah menginterview jajaran direksi Pertamina, dewan komisaris menyimpulkan, ada persoalan kepemimpinan. "Kami melihat internal harus ditingkatkan, sehingga perlu ada penyegaran," tuturnya. Pergantian pemimpin Pertamina ini menurut pengamat perminyakan terbilang kontroversial. Soalnya, baru 20 Oktober 2016 terjadi perubahan susunan kepemimpinan Pertamina. Saat itu, Menteri Rini menetapkan struktur baru direksi yang menyediakan kursi Wakil Direktur Utama ditempati Ahmad Bambang, pos ini bertugas memimpin dan mengkoordinasikan direktorat pemasaran, direktorat pengolahan, serta deputi direktur energi baru terbarukan. 

Wakil direktur utama juga berwenang mengambil keputusan impor bahan bakar minyak.  Struktur baru perusahaan "membagi kekuasaan' kepada direktur utama dan wakilnya. Deputi Bidang Energi, Logistik, dan Kawasan Pariwisata Kementerian Badan Usaha Milik Negara Edwin Hidayat Abdullah menyatakan struktur baru dibutuhkan untuk menggenjot kinerja perseroan. "Supaya sinergi, pemasaran dan lini produksi dalam satu rantai kendali," ujar Edwin, yang juga Komisaris Pertamina. Orang nomor dua di Pertamina itu bahkan berwenang menunjuk direktur lain untuk mengambil keputusan jika direktur utama dan wakilnya berhalangan. 

Dalam anggaran dasar sebelumnya kewenangan soal ini dipegang direktur utama. Belakangan, model kepemimpinan itu menuai  masalah. Sejumlah pejabat pemerintah menuturkan Pertamina seperti dipimpin "matahari kembar". Beberapa kebijakan perusahaan diputuskan secara sepihak oleh wakil direktur utama. "Misalnya impor solar 1,2 juta barel untuk Januari 2017 yang diputuskan pada Desember," seperti dikutip Tempo. Dalam susunan kepemimpinan Pertamina yang dibentuk pada 20 Oktober 2016, Direktur Utama Pertamina dijabat Dwi Soetjipto, sementara Direktur Pemasaran Ahmad Bambang digeser menjadi Wakil Direktur Utama Pertamina. 

Sejumlah sumber mengatakan Dwi sama sekali tidak dimintai pendapat dalam penyusunan struktur baru ini. Dalam mekanisme impor minyak, menurut beberapa pejabat perusahaan itu, direktur utama hanya menjadi semacam tukang stempel. Keputusan diambil Wakil direktur utama, yang membawahi direktur pengolahan dau direktur pemasaran. Menanggapi pencopotan Direktur Utama dan wakilnya, Komisaris Utama Pertamina Tanri Abeng menyatakan tugas direktur utama sementara diserahkan kepada Direktur Gas Pertamina Yenni Andayani. "Kami akan menunjuk direktur utama dalam waktu 30 hari," ujarnya.
